TERMS OF SERVICE

  1. INTRODUCTION

These Terms of Service together with the Privacy Policy constitute a legally binding agreement (the “Agreement”) between you and Websheet spółka z ograniczoną odpowiedzialnością with its registered seat in Skarbimierzyce 1, 72-002 Dołuje, Poland, entered into the register of entrepreneurs under the KRS no.: 0001052489, REGON: 526092621, NIP: 8513297937 (“Websheet”, “we”, “us”, “our”).

Installing the Websheet AI software (the “Service”) via the Google Workspace Marketplace and using the Service constitutes your full and unconditional acceptance of these Terms of Service. We may update these Terms of Service, as further described below.

By entering, accessing, browsing, submitting information to, or otherwise using the Service or any part thereof, you are confirming that you understand and agree to be bound by these Terms of Service, and you represent and warrant that you are at least 18 (eighteen) years old. If you are entering into the Agreement on behalf of a company or legal person you represent, you hereby confirm that you have the necessary authorization to bind such entity to these Terms of Service.

  1. THE SERVICE

The Services allows users to use the power of and advanced language models developed, to enhance productivity, streamline data analysis, and fuel creative solutions right from their spreadsheets. The Service enables you to interact with the language model effortlessly. Simply input your queries, prompts, or tasks directly into the Service, and let artificial intelligence (“AI”) generate coherent and contextually relevant responses in natural language. The Service may be used to leverage the strength of AI’s language understanding to interpret, analyze, and summarize data within your Google Sheets. Whether it's financial reports, survey responses, or complex datasets, the Service can assist you in extracting valuable insights quickly and efficiently. The language model adapts to your style and preferences, ensuring a seamless experience.

You may tailor the language model to suit your specific needs. Utilize customization options to provide specific instructions, control the tone of responses, or fine-tune the output according to your domain or industry, making it a versatile tool for various applications.

The Service is designed to be intuitive and easy to use, even for users without technical expertise. The simple integration into Google Sheets ensures a seamless user experience without the need for complex configurations.

The Service may be accessed through any web browser. We recommend that you use an evergreen browser with allows the use of web 3.0 applications, such as Microsoft Edge, Mozilla Firefox, Opera, Google Chrome, or Apple Safari. Access to the full functionality of the Service, may require you to use additional services, as further described in these Terms of Service.

You further understand and acknowledge that you are solely responsible for obtaining the Internet access and all equipment necessary to use the Service, for appropriately installing the Service and for creating and managing the content created via the Service. All fees associated with the foregoing shall be paid by you.

  1. THIRD PARTY SERVICES

Third party services. You acknowledge that your use of the Service my require the use of additional third party services (collectively, “Third Party Services”), provided by third party vendors (collectively, “Third Party Vendors”). You further acknowledge that any action taken by you through the Service, may require you to set up the Third Party Services or any other software you may choose to use in order to access or interact with the Service. You agree that the use Third Party Services is governed by, the terms of service, privacy policies and/or other agreements you may enter into with the providers of such Third Party Services. The Services provided by us do not include services provided by the Third Party Vendors or other third party service providers and we have no control over and shall not be liable for the availability or functionality of the Third Party Services or any other software used in order to interact with Service. The Services only provides integration with Third Party Services for convenience and we do not make any representations with regards to such Third Party Services.

Google. The Service requires a Google account which will be used to access Google Sheets on which the Services is installed and integrated with. It is important to note that the Google account is governed by Google's own terms of service and privacy policy. Users must comply with Google's guidelines and policies while using the Service, as the integration involves the handling of data within the Google ecosystem. Open AI. In order to provide its core functionality, the Services is using AI technology developed and provided by OpenAI LLC (“OpenAI”). Users must comply with OpenAI's guidelines and policies while using the Service, as the integration involves the handling of data within the OpenAI ecosystem. Security. You understand that you are solely responsible for maintaining the security and control over the Third Party Services or any other software that you use to interact with the Service. You understand and agree that you will not hold us responsible for managing and maintaining the security of your use of Third Party Services. You further understand and agree that the we are not responsible (and you will not hold us responsible) for any unauthorized access to, or use of, your Google account or other Third Party Service account.

Specifically, you acknowledge that any information, content or code uploaded to the Service (“Input”) may, be used by OpenAI for its language model training and improvement. Any Inputs may be shared with and manually reviewed by a person, including by third party contractors located around the world. You should not use or provide via the Service any information that is sensitive, proprietary, confidential or that you otherwise do not want others to view, including personal data. You may not upload, post or otherwise make available through the Service any material protected by copyright, trademark, or any other proprietary right without the express permission of the owner of such copyright, trademark or other proprietary right owned by a third party, and the burden of determining whether any material is protected by any such right is on you. Websheet has no control over the use of the Input, thus, any use of such is at your own risk and Websheet does not represent, undertake or warrant to any security or control of or to the Input.

Content. You are solely responsible for your Input. Further, by providing any Input, you will receive output generated and returned by AI based on such Input (“Output”; Input and Output shall be collective “Content”). You are solely responsible for ensuring that you Content complies with applicable laws, these Third Party Vendors’ terms and guidelines, and specifically these Terms of Service. The Content generated via the Service may be used for any purpose, at your own risk. You also acknowledge and agree that (i) you have obtained sufficient information to make an informed decision regarding the use of the Service, including its AI components; (ii) you are solely responsible for determining the nature, potential value, suitability, and appropriateness of the Service for yourself; (iii) we do not represent or warrant that the Service, or its supporting systems or technology, are reliable, current or error-free or otherwise meet your requirements; (iii) that defects in the Service, or its supporting systems or technology, will be corrected to meet you specific requirements; (iv) we shall not be responsible for any communication failures, disruptions, errors or delays you may experience related to the Service.

Accuracy and uniqueness. Due to the nature of AI’s generative nature, the Output may not be unique and depending on the Input, the Service may generate identical or similar Output for other users of the Service. Further, we do not guarantee the accuracy or fitness of the Output for any given purpose. You understand that AI may generate responses which are fully or partially incorrect. You are solely responsible for evaluating the accuracy of the Output.

Availability. Due to the fact, that OpenAI does not allow API access from every geographical location, depending on where you are, you may not be able to use the Service in whole or in part. The list of countries currently supported by OpenAI may be found here:

Ownership. Subject to the terms of service, privacy policies and/or other agreements you may enter into with the providers of such Third Party Services, you shall retain all right, title and interest in any Content uploaded or generated through the Service.

  1. ACCEPTABLE USE AND INTELLECTUAL PROPERTY RIGHTS

Ownership of the Service. Websheet (or, as applicable, its licensors) owns all legal rights in the Service. You expressly understand and agree that your access to and use of the Service is provided on an “as is” basis without any warranties of any kind. To the fullest extent possible pursuant to applicable laws we make no warranties regarding the Service or any part thereof.

Acceptable use of the Service. By using the Service, you agree that you will not use any resource made available on the Service in any manner that is malicious or that violates any applicable laws, or the intellectual property or proprietary rights of any party. You agree not to copy, reproduce, distribute, or display portions of the Service, or any products, services, information, or other materials available on or through the Service, without the prior express written consent of Websheet. You agree not to post on or transmit onto the Service any information that you know to be untrue, that is unlawful, fraudulent, threatening, malicious, harassing, abusive, libelous, defamatory, obscene, or otherwise objectionable or harmful, or that contains or links to a virus, bug, worm, malware, trojan horse, or other harmful or disruptive elements. You agree not to use any automated tool, such as a web scraping tool, a bot or web robot, or web automation, to mine the Service or any products, services, information, or other materials available on, through, or in connection with the Service. You will not circumvent any technical measures implemented to prevent or limit such access. You will not circumvent or attempt to circumvent any security or access control technology implemented on the Service or any products, services, information, or other materials available on, through, or in connection with the Service or any servers, network, or associated systems or physical premises operated by or for the benefit of Websheet.

Intellectual property rights. Subject to the compliance with these Terms of Service, we grant you a limited, personal, non-exclusive, revocable, non-assignable and non-transferable right and license to use the Services and any products, services, functionality, content, information, or other materials available on or through the Service.

Modification of the Service. Websheet may from time to time modify Services in order to maintain this Service in conformity with the Agreement between Websheet and you. We shall inform you about availability of any updates of the Service throughout entire term of providing Services to you. We will provide you with appropriate installation instructions and inform you on the consequences of the failure by you to install it. If we provides you with all such information, we shall not be liable for any lack of conformity resulting from the lack of updates. We may modify the Service beyond what is necessary to maintain this service in conformity with the Agreement between Websheet and you in connection with (i) introduction of technological changes in the Service or introduction of new Services or functionalities; (ii) security/safety considerations; (iii) changes in licenses and partnerships we have with other entities; (iv) prevention of abuses; (v) meeting requirements arising from legal and/or regulatory obligations. Such modifications will be made without additional costs to you and you will be informed on such features and time of such modification in advance on a durable medium. In such case, if the modification negatively impacts your access to or use of the Service (unless such negative impact is only minor or Websheet will enable you, without additional costs, to use the Service without modification and the services remain in conformity) you will have a right to terminate the Agreement free of charge, without notice period, within 30 days of the receipt of the information or of the time when the Service has been modified, whichever is later.

  1. PRICING AND PAYMENT

Pricing and subscriptions. Access and use of the Service may require payment of additional fees. You may find the current price list, as well as applicable payment methods at the link below:

You will receive access to the Service without undue delay after you will pay a subscription fee. If Websheet does not provide the services without undue delay you may call upon Websheet to provide them. If Websheet then still does not provide the services you are entitled to terminate the Agreement. However, you may terminate the Agreement immediately if: (i) Websheet declares or it is equally clear from the circumstances that Services will not be provided or (ii) Websheet and you agree or it is equally clear from the circumstances of concluding the Agreement that a specific time for providing services was essential for you and Websheet has not provided Services by that time.

If permitted by the laws of the country that you reside, each subscription will automatically renew at the end of each subscription term unless you cancel your subscription before the end of your subscription term. Unless otherwise indicated, such renewal will be at the same subscription fee as when you first subscribed, plus any applicable taxes, unless we notify you at least 14 days prior to the end of your current term that the subscription fee will increase. You acknowledge that your subscription is subject to automatic renewals and you consent to and accept responsibility for all recurring charges to your credit or debit card (or other payment method, as applicable) based on this automatic renewal feature without further authorization from you and without further notice except as required by law. You further acknowledge that the amount of the recurring charge may change if the applicable tax rates change or if you are notified that there will be an increase in the applicable subscription fees.

You may cancel your subscription trough the Stripe Portal, accesible from the plugins “Billing” dialog. If you choose to cancel, your cancellation will take effect at the end of the subscription term in which you cancelled, and there are no refunds of amounts already paid. Except where Websheet, in its sole discretion, suspends or terminates your subscription as provided below, you will have access to and use of the Service up until the effective date of cancellation.

You agree to pay us the fees for your subscription and authorize Websheet, through its third party payment Processor (as defined below) to: (i) charge these fees to your chosen payment method, and (ii) automatically renew the charges for the duration of your subscription unless you cancel your Subscription as described above, which you may do at any time. If your chosen payment method is invalid for any reason (e.g. your credit card is charged back), or if we do not receive payment, we reserve the right to cancel your subscription immediately.

All descriptions of the Service subscription, prices, and payment terms are within our sole discretion and subject to change at any time without notice. We may add new services for additional fees and charges, amend fees and charges for existing Services, or withdraw its offering at any time, in our sole discretion. The price charged for a subscription and payment terms will be the price and payment terms in effect at the time the order is placed and will be set out in your order confirmation. Price increases will only apply to orders placed after such changes. Listed subscription prices include any applicable taxes. All such taxes will be added to your order total and will be itemized on the purchase screen and in your order confirmation. 

Third party payment processor. Websheet does not process any payments, but uses third party payment processing service providers (each, a “Processor”). To facilitate payments due hereunder via bank account, credit card or debit card, Websheet currently uses Stripe, Inc. By submitting payment to Websheet, you agree to be bound by Stripe’s privacy policy  and its terms of service and hereby consent and authorize Websheet and Stripe to share any information and payment instructions you provide to the minimum extent required to complete your transactions. By using a certain payment method, you agree to the relevant Payment Processor’s terms and conditions. Payment must be received by the relevant Payment Processor before our acceptance of an order. Each Payment Processor accepts certain payment methods, as may be amended by Payment Processors at any time and from time to time in their sole discretion. Websheet does not view or store your full credit card or other payment method information – instead, such information is provided directly to Payment Processors for their processing of your payment. For all purchases, our Payment Processors will collect your payment method details and charge your chosen payment method in connection with an order. You acknowledge and agree that Websheet is not responsible for any breaches of credit card or other payment method security or privacy.

You represent and warrant that: (i) the order, and payment method information you supply to us or our Processor, as applicable, is true, correct and complete, (ii) you are duly authorized to use such payment method for the purchase, (iii) you will pay any charges that you incur in connection with the Service under your subscription, including any applicable taxes, (iv) charges incurred by you will be honored by your payment method company, (v) you will pay all charges incurred by you at the posted prices, including all applicable taxes, if any.

If any of your order, or payment method information changes, you agree to promptly update this information, so that we or our Processor may complete your transactions and contact you as needed. We are not liable for any unauthorized use of your credit card, debit card, or other payment methods by a third party in connection with your use of the Services.

  1. CHANGES TO THE TERMS OF SERVICE

We may change these Terms of Service in case of: (i) amendments to legal regulations having a direct impact on the content of these Terms of Service, (ii) introduction of technological changes in the Service or introduction of new Services or functionalities, (iii) security/safety considerations, (iv) changes in licenses and partnerships we have with other entities; iv) prevention of abuses, (vi) meeting requirements arising from legal and/or regulatory obligations.

Websheet will give you, by email, at least 14-day notice of such changes. If you disagree with the revised Terms of Service, you may terminate your Agreement with us before the revised Terms of Service become effective. If you do not terminate the Agreement and continue to use the Service after the revised Terms of Service become effective you will be deemed to have accepted them. We may change these Terms of Service with immediate effect, if such change results from legal or regulatory obligations, which require to implement relevant changes before the lapse of a 14-day notice period.

  1. LIABILITY

Subject to the provisions referring to Third Party Services, Websheet is liable for a lack of conformity of they Service that occurs or becomes apparent within the period of time during which the Service is to be supplied. If in your opinion, the Service does not conform with the Agreement between Websheet and you, in particular if it (i) does not fit the description included in these Terms of Service or it does not possess quality, functionality, compatibility, interoperability or other features described in these Terms of Service; (ii) it does not fit for the purposes for which this type of services would normally be used; (iii) it does not possess qualities of performance features which are normal for services of the same type, and which consumers may reasonably expect; (iv) does not include accessories or instructions which may be reasonably expected by consumer, you may file a complaint (“Complaint”). We will respond to your Complaint within 14 days. In the case of a lack of conformity of the Service, you are entitled to have the Service brought into conformity. Websheet shall bring the Service into conformity within a reasonable time, free of charge and without significant inconvenience to you. However, Websheet may refuse to bring the Service into conformity if it is impossible or imposes disproportionate costs to us. In case it is impossible or imposes disproportionate costs on us to bring the Service into conformity or Websheet will not bring the Service into conformity within a reasonable time, free of charge and without significant inconvenience to you or after an attempt to bring the Service into conformity, it will still not conform with the Agreement, the lack of conformity is of such a serious nature as to justify an immediate price reduction or termination of the Service, or Websheet will declare, or it is clear from the circumstances, that Websheet will not bring the Service into conformity within a reasonable time, or without significant inconvenience for you, you will be entitled to receive a proportionate reduction in the price, or to terminate the Service, in accordance with applicable consumer protection laws.

  1. TERMINATION

Without prejudice to your rights under other provisions of these Terms of Service or applicable law, you are entitled to terminate the Agreement with Websheet due to: (i) failure to supply the Service; (ii) modification of the Service if it negatively impacts your access to or use of the Service (unless such negative impact is only minor); (iii) lack of conformity, in the circumstances provided in the “Liability”  section of these Terms of Service.

Websheet may terminate or suspend your access to the Service at any time if we believe that you are in violation of any of the provisions of these Terms of Service, if we discontinue providing the Service or any material element thereof upon reasonable notice, or if we deem it appropriate to comply with applicable law. If we terminate or suspends your access to the Service, you acknowledge that Websheet, subject to applicable law, will have no liability to you and will not refund any amounts you have already paid.

  1. WITHDRAWAL

If you are a consumer under relevant legislation, during the initial 14 day of you subscription period, you have a right to withdraw from the Service without stating a reason by email to support@websheet.cc. We will refund you with all payments that we have received from you. In order to exercise your withdrawal right it is sufficient that you will sent us a notification before the lapse of abovementioned 14-days period. In case of exercise of right to terminate the Agreement (as stipulated above) or withdraw from the Agreement, any refunds due will be made within 14 days of the date on which Websheet has been notified by you on withdrawal or termination. Payment shall be made using the same means of payment you used for paying for the Service unless you expressly agrees otherwise and provided that you will not incur any fees as a result of such mean of payment. The above rules will also apply if you require price reduction due to lack of conformity with the Agreement.

Since the subject of the Agreement is to the supply of digital content not delivered on a tangible medium, for which the buyer is obliged to pay the price, in the case of an express and insistent request that Websheet begin to provide the Service before the expiration of the statutory withdrawal period, the above right of withdrawal shall not apply.

  1. PERSONAL DATA PROTECTION

Websheet is the data controller of your personal data made available to us through the Service. You can find more information about how we process your personal data by reviewing our Privacy Policy.

  1. APPLICABLE LAW AND DISPUTE RESOLUTION

Applicable law. These Terms of Service shall be governed by the laws of Poland, subject to conflict of law rules or principles of any other jurisdiction that would cause the application of the laws of any other jurisdiction.

Dispute resolution. Websheet is neither obliged nor agrees to resolve disputes through out-of-court dispute resolution proceedings, including via electronic platform of the European Commission or any other type of consumer arbitration proceedings.

  1. GENERAL PROVISIONS

If any provision of these Terms of Service is held to be invalid, void, or for any reason unenforceable, such provision shall be struck out and shall not affect the validity and enforceability of the remaining provisions. If any provision of these Terms of Service is or becomes invalid, illegal, or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted.
